MINNEAPOLIS, MN / ACCESSWIRE / February 24, 2021 / Celcuity Inc. (NASDAQ:CELC), a clinical stage biotechnology company translating discoveries of new cancer sub-types into 3rd generation diagnostics and expanded therapeutic options for cancer patients, today announced the pricing of its previously announced underwritten public offering of 1,714,000 shares of its common stock at a price to the public of $14.00 per share. Gross proceeds to Celcuity from the offering are expected to be approximately $24.0 million, before deducting underwriting discounts and offering expenses. The offering was upsized from the previously announced size of $20.0 million in shares of common stock. In connection with the offering, Celcuity granted the underwriter a 30-day option to purchase up to an additional 257,100 shares of common stock to cover over-allotments, if any, at the same price to the public. The offering is expected to close on February 26, 2021, subject to customary closing conditions.
Celcuity intends to use the net proceeds from the offering for working capital and general corporate purposes, which may include capital expenditures, research and development expenditures, clinical trial expenditures, expansion of business development activities and other general corporate purposes.
Craig-Hallum Capital Group is acting as the sole managing underwriter for this offering.
The shares are being offered pursuant to an effective shelf registration statement on Form S-3 (File No. 333-227466) that was previously filed with the Securities and Exchange Commission (the 'SEC') and was declared effective on October 4, 2018.
